These Terms of Service ("Terms") cover your purchase and use of the AI Real Estate Team by The Overnight Desk. They are an agreement between you and The Overnight Desk Team ("we", "us", "our"). By completing checkout or by using the Product, you agree to these Terms and to our Privacy Policy.
01The Product
The AI Real Estate Team by The Overnight Desk (the "Product") is a package of 14 ready-made Grok Bot templates for real estate professionals. It includes the template links for the 14 teammates, this install guide and the optional Brand Profile worksheet. Each template is a set of instructions and settings that you add to your own Grok Bot account. The teammates are not people, and we did not train a separate AI model.
02Eligibility
You must be at least 18 years old and able to enter a binding contract. If you buy for a business, you confirm you have authority to bind it. You are responsible for holding any license, brokerage affiliation or approval your real estate work requires.
03Price and payment
The Product costs $997 USD, paid once. This is a one-time payment, not a subscription, and you won't be billed again for the Product. Payment is taken at checkout by our payment processor. Prices exclude any taxes that apply where you live.
04No refunds: all sales final
All sales are final. We do not offer refunds, returns or exchanges, in whole or in part, once your purchase is complete. The Product is digital and is delivered instantly: you get access to the template links straight after checkout, and access cannot be taken back. By completing checkout, you confirm that you understand this and agree that no refund will be due, to the extent the law allows. If you can't access something you paid for, email us and we'll help you get it.
05Optional setup consultation ($99)
You may also buy an optional setup consultation for a one-time $99 USD. It is a single 30-minute live session, held online, to help you install and set up the team. It is not required to use the Product, and it is not included in the Product price.
- Scheduling: you schedule the session after payment, using the booking link we provide.
- Rescheduling: you may reschedule with at least 24 hours' notice before the session starts.
- No-shows and late cancellations: if you miss the session, or cancel or reschedule with less than 24 hours' notice, you forfeit the session and no replacement or refund is due.
- No refunds: like the Product, the consultation is final sale and is not refundable.
- Scope: the consultation covers one 30-minute session only. It does not include ongoing support, done-for-you services, or legal, financial or compliance advice. The AI output, disclaimer of warranties and limitation of liability sections of these Terms also apply to it.
06Optional ongoing management retainer
You may also buy an optional ongoing support and maintenance retainer, where we manage your AI Real Estate Team for you. It is not required to use the Product.
- Price and hours: a flat $1,500 USD per month for up to 15 hours of work per month.
- Scope: managing and maintaining your team. That means tuning skills and routines, applying updates, troubleshooting, and general help, all done inside your own Grok Bot account using the access you choose to grant. Work outside this scope, or beyond the monthly hours, is not included unless we agree in writing.
- Billing: billed monthly in advance, and it renews each month until cancelled. Unused hours do not roll over to later months.
- No refunds: fees for a month already paid are not refundable, in whole or in part.
- Cancellation: cancel anytime by emailing us. Cancellation takes effect at the end of the current billing period, and you won't be billed again after that.
- Your subscription: you keep paying for your own Grok Premium or higher subscription from xAI. It is not included in the retainer.
- Your responsibility: you remain responsible for reviewing all output and for compliance, as described in the AI output section. Our work does not shift that responsibility to us. The retainer is not legal, financial, tax or brokerage advice.
- Access: you can grant or revoke our access at any time. We use it only to provide the retainer. If you revoke it, we may not be able to do the work.
We may change the retainer price or hours for future billing periods by giving you at least 30 days' notice. The disclaimer of warranties and limitation of liability sections also apply to the retainer.
07Grok subscription required (not included)
To use the Product, you need your own Grok Premium or higher subscription from xAI (see x.ai/pricing), along with the Grok Bot app. That subscription is not included in the Product. It is sold and billed by xAI, on xAI's own terms. Usage limits, features, prices and availability of Grok and Grok Bot are set by xAI and can change at any time. We are not responsible for them, and changes to them are not grounds for a refund.
08Not affiliated with xAI
The Overnight Desk is independent. We are not affiliated with, endorsed by or sponsored by xAI, X Corp. or any of their affiliates. Grok, Grok Bot and related names are their owners' trademarks and are used here only to describe compatibility.
09Your license
When you buy, we grant you a non-exclusive, non-transferable, non-sublicensable license to add the templates to your own Grok Bot account and use them for your own real estate business. That includes your own team members working in your business. You may edit the bots once they are in your account.
You may not resell, share, publish, sublicense or give away the templates, the template links, the install guide or any copy or close imitation of them. You also may not include them in a product or service you offer to others. We own all rights in the Product that are not expressly granted to you. If you breach this section, we may end your license, and we may also disable links where we can.
10AI output: your review and responsibility
The bots generate content with AI, and that content can be wrong, incomplete, outdated or unsuitable. You must review all output before you use it, send it or rely on it. You are solely responsible for your communications and decisions. That includes compliance with Fair Housing and anti-discrimination laws, real estate licensing rules, advertising and disclosure rules, MLS and brokerage policies, privacy and marketing laws (such as rules for calls, texts and email), and the content of any contract or document.
The Product is not legal, financial, tax or real estate brokerage advice. Nothing it produces creates a professional relationship with us. Consult a qualified professional, your broker or your attorney when needed. Any prospecting, sales or income examples are only illustrations, not promises of results.
11Your data and third-party services
The bots run inside your own Grok Bot account. Any tools you connect (such as email, calendar or CRM) are your choice and are governed by those providers' terms. We cannot access your account. See our Privacy Policy.
12Disclaimer of warranties
THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED. THESE INCLUDE MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. We do not promise that the templates or the output will be error-free or uninterrupted, will work with every future version of Grok Bot, or will produce any particular business result.
13Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. WE ALSO WILL NOT BE LIABLE FOR LOST PROFITS, LOST COMMISSIONS, LOST DATA, REGULATORY FINES OR LOSS OF BUSINESS THAT ARISES FROM THE PRODUCT OR ITS OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT AND ANY CONSULTATION, PLUS, FOR THE RETAINER, THE RETAINER FEES YOU PAID IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE.
14Indemnity
You agree to defend and indemnify The Overnight Desk Team against claims, losses and costs (including reasonable legal fees) that arise from your use of the Product or its output, your breach of these Terms, or your breach of any law or third-party right.
15Changes to the Product and these Terms
We may update, improve or change the templates or this guide at any time. We may also update these Terms. If we do, we'll post the new version here and change the effective date. Changes apply from that date, and continuing to use the Product means you accept them. The price and the no-refund terms that applied when you bought, including for any consultation or a retainer month already paid, do not change for that purchase. Changes to retainer pricing follow the notice rule in the retainer section.
16Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and both parties consent to their jurisdiction.
17General
These Terms, together with our Privacy Policy, are the entire agreement about the Product. If any part is found unenforceable, the rest stays in effect. If we don't enforce a term, that does not waive it. You may not transfer these Terms. We may transfer them in connection with a sale of the business.
